These Terms of Service ("Terms") govern the use of the services provided by ReplyLocal FL ("we," "us," or "our"). By using our services or interacting with a business through them, you agree to these Terms.

1. The service

ReplyLocal FL provides automated missed-call text-back, two-way message relay, and customer follow-up messaging (such as review requests) on behalf of participating local businesses.

2. SMS program terms

By calling or texting a participating business, or by providing your phone number to a business and agreeing to receive service-related messages, you consent to receive text messages related to your inquiry or service. Message frequency varies. Message and data rates may apply. Consent to receive messages is not a condition of purchasing any goods or services.

You may opt out at any time by replying STOP to any message, after which you will receive a single confirmation and no further messages. Reply HELP for help, or contact us at the details below. Carriers are not liable for delayed or undelivered messages.

3. Acceptable use

You agree not to use the service for unlawful purposes, to send abusive, fraudulent, or deceptive content, or to send unsolicited marketing messages. We may suspend service for violations of these Terms or applicable messaging regulations.

4. Business subscriptions

Businesses subscribe on a month-to-month basis unless otherwise agreed in writing. Subscriptions may be cancelled at any time, effective at the end of the current billing period. Setup fees are non-refundable once setup has been completed. Businesses are responsible for ensuring they have appropriate consent to message their customers.

5. Disclaimers

The service is provided "as is" and "as available." We do not guarantee that every message will be delivered, as delivery depends on telecommunications carriers and other factors beyond our control. We are not responsible for the conduct, services, or workmanship of the businesses using our platform.

6. Limitation of liability

To the maximum extent permitted by law, ReplyLocal FL shall not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or lost business opportunities, arising from the use of or inability to use the service. Our total liability for any claim shall not exceed the amounts paid to us for the service in the three months preceding the claim.

7. Changes to these Terms

We may update these Terms from time to time. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.

8. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
